These Terms of Service ("Terms") are a legal agreement between you (and, if applicable, the MGA, agency, or brokerage you represent, "you") and Synk Insurance Management Inc ("Synk," "we," "us"), governing your access to and use of the Synk MGA underwriting platform (the "Service"). By creating an account or using the Service, you agree to these Terms.
The Service is intended for licensed insurance professionals, MGAs, underwriters, and retail agents acting in a business capacity. You must be authorized to act on behalf of your organization to accept these Terms, and you represent that all information you provide is accurate.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Accounts are provisioned per organization (MGA) and per individual user (underwriter, admin, or retail agent); you may not share credentials or allow unauthorized individuals to access the Service.
Retail agents access the Service through an invite-based connection to one or more participating MGAs. An MGA may, at its discretion, remove a retail agent's access to its network at any time.
Certain features of the Service require a paid subscription. Fees are billed through our payment processor, Stripe, on the plan and interval you select. Fees are non-refundable except as required by law or as we expressly state at the time of purchase. We may change our pricing with advance notice; continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
You (or your organization) retain ownership of the submission data, documents, and communications you upload or create through the Service ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely as necessary to provide the Service, including sending it to sub-processors described in our Privacy Policy (such as Anthropic for AI-assisted analysis, or Resend for email delivery).
You are responsible for ensuring you have the necessary rights and permissions to submit any data — including data about drivers, insureds, or other individuals — through the Service, and that doing so complies with applicable law.
The Service is architected so that each MGA's data is logically isolated from other MGAs on the platform. We do not share one organization's submissions, pricing, or communications with another organization, except where you use a feature (such as broadcasting a submission) that is explicitly designed to share a submission with specific MGAs you select.

The Service integrates with third-party providers (including Cloudflare, Resend, Anthropic, Stripe, and FMCSA public data). We are not responsible for the availability, accuracy, or practices of these third parties, though we select and configure them to support the Service responsibly. FMCSA data is public government data provided "as is"; we do not guarantee its accuracy or timeliness.
The Service, including its software, design, and underwriting workflow logic, is owned by Synk Insurance Management Inc and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, branding, or underlying technology beyond what's necessary to use the Service as intended.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free, or that AI-assisted features (such as risk scoring or document summaries) will be fully accurate — these are decision-support tools, not a substitute for underwriter judgment.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Synk Insurance Management Inc WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE, AND OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
We may suspend or terminate your access to the Service if you violate these Terms, or for non-payment of applicable fees. You may cancel your subscription at any time; upon termination, we will retain Customer Data for a reasonable period consistent with our Privacy Policy before deletion, unless a longer retention period is legally required.
These Terms are governed by the laws of Minnesota, without regard to its conflict of laws principles, and any disputes will be resolved in the state or federal courts located in Ramsey County, Minnesota.
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance.
